We have someone interested in investing in a film we are producing. I need to write an agreement/contract. Are there any major clauses I need to inlcude or are there any templates or guides out there to follow?

Italy is the place to be for film production 1. Tax credit for Investors having a legal branch in Italy (equity investors) - coproduction film Tax credit (40%) is not bankable but enables to compensate fiscal debts (local VAT, corporate income tax, regional income tax and social security insurance etc) with the credit accumulated as a consequence of an investment in the cinema sector. Tax Credit for outside investors (equity) is reserved to companies outside the film industry that invest in film production, with partnership profit-sharing agreements. Limit to investments is 2,5 million Euro per year for each companies. 2. Tax Credit for foreign film - non coproduction film Tax Credit is aimed at Italian executive production companies (line producers) that produce their project or part of it on the Italian territory on commission by foreign production companies. Maximum: € 10.000.000,00 for each company per fiscal year Maximum quota of total budget: eligible production expenses: <60% of total film budget Tax credit rate: 25% of the production budget 3. Regional Fund - film commissions Italy provide a large range of local funds and benefits for film and tv productions. The contribution to the production could be automatic (a certain % of the spending) or depending from the decision of a commission. Millions of Euro are available for well established project with at least 60% of the funding already confirmed. Please do not hesitate to ask more information. Just introducing myself. I was an actor for many years living in L.A and London mainly focusing on commercials. I retired for 13 years to spend time with two boys then decided to go back almost 4 years ago.. I am American but live in Italy where I have my production company and training facility. Currently we are packaging one feature and working on a short comedy. Shooting a few commercials but always looking at possibilities. I love teaching and I provide a full production environment for my student members and we subsidize 70% of the cost as a non profit for those who can;t afford to go to film schools. Anyway I am having fun and glad to find out about Stage 32 as a community. RP
